Item 1.01 Entry into a Material Definitive Agreement.
On March 28, 2007, Service Corporation International (the Company) entered into a purchase agreement (the Purchase Agreement) pursuant to which it agreed to sell $400 million aggregate principal amount of unsecured senior notes, consisting of $200 million aggregate principal amount of 6.75% Senior Notes due 2015 and $200 million aggregate principal amount of 7.50% Senior Notes due 2027 (collectively, the notes), to the initial purchasers named therein in a private placement. The aggregate proceeds from the offerings, net of initial purchasers discounts and offering expenses, will be used, together with available cash, to retire the Companys 6.50% Notes due 2008 and 7.70% Notes due 2009. The closing of the sale of the notes is expected to occur on April 9, 2007, subject to customary closing conditions.
The notes will be resold by the initial purchasers pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended (the Securities Act). The notes will not initially be registered under the Securities Act or the securities laws of any state and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements under the Securities Act and any applicable state securities laws.

Item 7.01 Regulation FD Disclosure.
On March 28, 2007, the Company issued a press release announcing that it has priced the private offering of the notes. The full text of the press release is attached hereto as Exhibit 99.1.
