("GoerTek") became a beneficial owner of these securities as of April 20, 2017, which made GoerTek subject to Section 16 as a 10.1% holder based upon 75,156,563 shares of common stock outstanding as of August 4, 2017, as set forth in the Issuer's Quarterly Report on Form 10-Q for the quarter ended July 1, 2017, filed with the Securities and Exchange Commission on August 10, 2017. A Form 3 was not filed at such time.
