Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers.
On August 3, 2007,
the Board of Directors of Michael Baker Corporation (the “Company”)
accepted the resignation of William P. Mooney as an executive officer of the Company, effective
September 7, 2007. Mr. Mooney had served as Executive Vice President and Chief Financial Officer
of the Company. Mr. Mooney will continue to advise the
Company and its Board of Directors, as needed, related to the potential divestiture of the
Company’s Energy segment. The Company issued a press release reporting Mr. Mooney’s
resignation and a copy of this press release is attached as Exhibit 99.1 to this Current Report
on Form 8-K and is incorporated into this Item 5.02 by reference.
