On September 6, 2007, William C. Denninger informed Graham Corporation (the Company) of his
resignation from the Board of Directors in order to pursue other opportunities. Mr. Denningers
resignation as a Director, which was effective on September 6, 2007, was not a result of any
disagreement between him and the Company. A copy of Mr. Denningers letter of resignation is
attached to this Current Report on Form 8-K as Exhibit 99.1.
