(b) On May 19, 2010, Jill Moraniec, Chief Credit Officer of Bay National Bank (the “Bank”), the bank operating subsidiary of Bay National Corporation (the “Company”), resigned from her position with the Bank effective June 9, 2010. Ms. Moraniec resigned to accept a position with another financial institution and not as a result of a disagreement with the Company or the Bank.
