Item 8.01     Other Events.

As of November 28, 2009, Pier 1 Imports, Inc. (the “Company”) reported total outstanding shares of the Company’s common stock of 115,212,541, which excludes shares held in treasury.  The total outstanding shares include all shares issued in connection with the complete conversion of its 9% convertible notes, which was announced on October 21, 2009.

On December 3, 2009, the Company issued a press release announcing the Company’s third quarter sales results for the period ended November 28, 2009.  A copy of this press release is attached hereto as Exhibit 99.1.
