No additional securities are being registered and registration fees were paid upon filing of the original Form S-1 Registration Statement with the Securities and Exchange Commission on December 13, 2010 (Registration No. 333-171140). Therefore, no further registration fee is required.
The registrant hereby amends this registration statement on such date or dates as may be necessary to delay its effective date until the registrant shall file a further amendment which specifically states that this registration statement shall thereafter become effective in accordance with Section 8(a) of the Securities Act of 1933, as amended, or until the registration statement shall become effective on such date as the Securities and Exchange Commission, acting pursuant to said Section 8(a), may determine.
EXPLANATORY NOTE
This Post-Effective Amendment No. 2 to the Registration Statement on Form S-1, as amended (File No. 333-171140) (the Registration Statement) is being filed in order to update the information required by Item 12 of Form S-1 included under the heading Incorporation of Certain Information by Reference in the Registration Statement, to include the Companys Definitive Proxy Statement on Schedule 14A filed with the SEC on April 29, 2011. This Post-Effective Amendment No. 2 deletes the information required by Item 12 of Form S-1 included under the heading Incorporation of Certain Information by Reference in the Registration Statement in its entirety and replaces it with the following:
