The principal cause of our failure to timely file our Annual Report on Form 10-K for the year ended May 31, 2009, is the transition of a new controller at the end of the fiscal year and the need for the Company to prepare additional reports for its auditors in a thorough and accurate manner. The Company has chosen to file this extension so as to avoid rushing through the preparation of these reports and incurring unreasonable effort and expenses in order to meet the August 29, 2009 deadline. The Form 10-K will be filed within the permissible extension period on or before September 14, 2009.
