DEREGISTRATION OF SECURITIES
Financial Institutions, Inc. (the Company) is filing this Post-Effective Amendment No. 1 (the Post-Effective Amendment) to deregister any and all shares of the Companys common stock, par value $0.01 per share, registered but unissued or unsold as of the date hereof under the Registration Statement on Form S-8 filed by the Company with the Securities and Exchange Commission on June 30, 2000 (File No. 333-40544) (the Registration Statement), with respect to the 1,635,353 shares of its common stock to be offered or sold under the Financial Institutions, Inc. 1999 Directors Stock Incentive Plan, the Financial Institutions, Inc. 1999 Management Stock Incentive Plan, and the Financial Institutions, Inc. Non-Employee Directors Compensation Plan (the Plans). As of the date hereof, there are no outstanding equity awards under the Plans and no new equity awards may be granted under the Plans.
Pursuant to the undertaking contained in the Registration Statement to remove from registration, by means of a post-effective amendment, any of the securities registered that remain unissued at the termination of the offering, the Company is filing this post-effective amendment to the Registration Statement to deregister, and does hereby terminate the registration of, all remaining shares of common stock in the Plans that remain unissued or unsold under the Registration Statement as of the date hereof.
