Item 2.02 Results of Operations and Financial Condition.

On February 14, 2012, Park City Group, Inc. (the "Company") issued a press release announcing its financial results for the quarter ending December 31, 2011. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1.

Item 8.01 Other Events.

Also on February 14, 2012, the Company issued a press release announcing its partnership with Leavitt Partners, an internationally-known health care and food safety consulting firm. The Company and Leavitt Partners have joined to create a solution targeted toward improving supply chain visibility for food and drug safety. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.2.
