(1) On March 18, 2018, PNBK Holdings LLC ("Holdings"), Michael A. Carrazza ("Carrazza"), the Reporting Person (together with Holding and Carrazza, the "PNBK Parties") and Fabrizio Arengi Bentivoglio ("Bentivoglio") entered into an agreement, pursuant to which the voting and dispositive power of 325,000 shares was returned to the PNBK Parties by Bentivoglio.
(2) The Reporting Person is the managing member of Holdings; therefore, the Reporting Person may be deemed to indirectly beneficially own the shares owned by Holdings.
