Item 2.02. Results of Operations and Financial Condition
On August 2, 2007, InfraSource Services, Inc. issued a press release announcing preliminary
financial results for its second quarter ended June 30, 2007. A copy of the press release is
attached as Exhibit 99.1.
InfraSource
is providing, attached as Exhibit 99.2, consistent with past
practice, the following reconciliation of GAAP and Non-GAAP financial
measures.
