Item 2.03 Creation of a Direct Financial Obligation

The Company has agreed to enter into an agreement with Cardinal Software, Inc. for a license agreement to their core processing software. Total fees for the license agreement are $187,900.00. Conversion to the new software is anticipated to occur the first quarter of 2008.
