(b) On December 28, 2005, E-Z-EM, Inc. (“E-Z-EM”) learned of the death that same day of Howard S. Stern, a director, Chairman Emeritus, and co-founder of E-Z-EM. On January 3, 2006, E-Z-EM issued a press release announcing Mr. Stern’s death. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference in its entirety.
