On June 12, 2018, Dermira, Inc. (the Company) held its 2018 annual meeting of stockholders (the Annual Meeting). Proxies for the Annual Meeting were solicited pursuant to Regulation 14A of the Securities Exchange Act of 1934, as amended. Of the 41,847,981 shares of the Companys common stock outstanding as of the record date of April 16, 2018, 34,198,567 shares were represented at the Annual Meeting, either in person or by proxy, constituting approximately 82% of the outstanding shares of common stock. The matters voted on at the Annual Meeting and the votes cast with respect to each such matter are set forth below:
