Item 7.01 | Regulation FD Disclosure. |
On November 16, 2018, Matador Resources Company (the “Company”) issued a press release announcing that the Company commenced an offer to exchange up to $1.05 billion of its outstanding 5.875% Senior Notes due 2026, which were privately placed on August 21, 2018 and October 4, 2018, for a like principal amount of 5.875% Senior Notes due 2026 that have been registered under the Securities Act of 1933, as amended (the “Securities Act”). A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
