     This Registration Statement on Form S-8 (the “Registration Statement”) is being filed for the purpose of registering an additional 1,600,000 shares of Introgen Therapeutics, Inc.’s (the “Registrant”) Common Stock to be issued pursuant to the Registrant’s 2000 Stock Option Plan (the “Plan”).
