ITEM 5. OTHER EVENTS.
On April 16, 2003, PolyOne Corporation (the "Company") announced that
it intends to offer $250 million of its Senior Notes in a transaction exempt
from the registration requirements of the Securities Act of 1933. Pursuant to
Rule 135c of the Securities Act, the Company is filing herewith the press
release issued April 16, 2003 as Exhibit 99.1 hereto.
The Senior Notes to be offered will not be and have not been registered
under the Securities Act and may not be offered or sold in the United States
absent registration or an applicable exemption from the registration
requirements.
