Item 2.02 Results of Operations and Financial Condition.

On January 10, 2011, Ascena Retail Group, Inc. (the “Company”) issued a press release revising its earnings per share guidance for its full fiscal year ending July 30, 2011.  A copy of this press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 2.02.
