Item 2.02 – Results of Operations and Financial Condition

 

On January 10, 2006, Material Sciences Corporation (“MSC”) issued a press release announcing its earnings for the fiscal three and nine months ended November 30, 2005, a copy of which was furnished by MSC as Exhibit 99.1 to its Current Report on Form 8-K filed on January 10, 2006, and is incorporated herein by reference. On January 13, 2006, MSC hosted a conference call to discuss its earnings for the fiscal three and nine months ended November 30, 2005. The transcript of that conference call is furnished herewith as Exhibit 99.1 and incorporated by reference herein.
