ITEM 5.02  DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

On April 8, 2008, Mr. William M. Wagner, Senior Vice President and Chief Accounting Officer, notified Sunstone Hotel Investors, Inc. of his intention to resign from the Company effective as of May 9, 2008, to take a position with another publicly traded real estate investment trust. Effective upon Mr. Wagner’s departure, Mr. Kenneth E. Cruse, our Chief Financial Officer, will assume the role of principal accounting officer. Mr. Cruse, 39, has also served as our Senior Vice President Asset Management from April 2005 to September 2006 and as our Senior Vice President—Corporate Finance from September 2006 to January 2007 after joining us from Host Marriot Corporation.
