Item 8.01 Other Events.

On August 21, 2006, the Board of Directors of Genuine Parts Company declared a regular quarterly cash dividend of $.3375 cents per share on the Company's common stock. The dividend is payable October 2, 2006 to shareholders of record September 8, 2006. Additionally, on August 21, 2006, the Board of Directors increased the number of shares of its common stock authorized for repurchase by 15 million shares. A copy of the press release is furnished with this Current Report on Form 8-K as Exhibit 99.1.
