Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. |
On May 30, 2018, Advanced Drainage Systems, Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original Form 8-K”) reporting that the Company’s Board of Directors (the “Board”) had appointed Michael B. Coleman as a Class I director and Ross M. Jones as a Class III director, both effective as of May 23, 2018. At the time of filing the Original Form 8-K, Board committee assignments for Messrs. Coleman and Jones had not yet been determined.
On August 8, 2018, the Board appointed Mr. Coleman as a member of the Audit Committee and Mr. Jones as a member of the Nominating and Corporate Governance Committee.
