On November 15, 2018, Rayonier Advanced Materials Inc. (the “Company”) issued a press release announcing its intention to submit proposals to its stockholders seeking approval to modify certain provisions of its Articles of Incorporation (its “Charter”) and Bylaws to (1) declassify its Board of Directors and (2) amend the Company’s Charter to eliminate supermajority voting requirements that currently exist for certain amendments to the Company’s Charter and Bylaws. A copy of the Company’s press release is furnished herewith as Exhibit 99.1 to this Current Report on Form 8-K.
