Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On May 1, 2014, the Board of Directors of Verizon Communications Inc. (Verizon or the Company) amended the Companys Bylaws effective on that date to change the reference to presiding director in Section 4.08 of the Bylaws to lead director. Attached as Exhibit 3b to this Report is a complete copy of the amended Bylaws, which includes those amended provisions approved by the shareholders of the Company at the 2014 Annual Meeting of Shareholders held on May 1, 2014.

At Verizons 2014 Annual Meeting of Shareholders, the following items were submitted to a vote of shareholders.
