TERMINATION OF REGISTRATION

     This Post-Effective Amendment No. 2 relates to the Registration Statement on Form S-3, Registration No. 33-63719, filed on October 26, 1995, pertaining to shares of the Registrant’s common stock. This Registration Statement also relates to Registration No. 33-50555 (the “Related Registration Statement”) pursuant to Rule 429 under the Securities Act of 1933.

     The undersigned Registrant hereby removes and withdraws from registration all securities registered pursuant to this Registration Statement and the Related Registration Statement which remain unissued.
