Item 8.01.   Other Events.
     In order to provide additional information in connection with the acquisition by Covanta Holding Corporation (the “Company”) of all of the outstanding stock of Covanta ARC Holdings, Inc. (formerly known as American Ref-Fuel Holdings Corp.) (“Holdings”) that was effective as of June 24, 2005, the Company is filing the unaudited Holdings’ Condensed Consolidated Financial Statements as of September 30, 2005 and December 31, 2004 and for the period January 1, 2005 through June 24, 2005, the period June 25, 2005 through September 30, 2005, the three months ended September 30, 2005 and 2004, and nine months ended September 30, 2004 which are attached as Exhibit 99.1 hereto and incorporated herein by reference.
