(b)  On November 5, 2010, Ram Charan notified Tyco Electronics Ltd. (the “Company”) that as he is approaching the mandatory retirement age for directors as established by the Board of Directors he has decided not to stand for re-election to the Board of Directors of the Company at the 2011 Annual General Meeting of Shareholders to be held on March 9, 2011.
