Item 7.01 - Regulation FD Disclosure.

On May 30, 2007, at approximately 3:30 p.m. Eastern Time / 2:30 p.m. Central Time, Bob Udell, senior vice president of Consolidated Communications Holdings, Inc. (the “Company”), will speak at the Lehman Brothers Worldwide Wireless and Wireline Conference (the “Conference”) in New York.

On May 31, 2007, at approximately 10:00 a.m. Eastern Time / 9:00 a.m. Central Time, Bob Currey, president and CEO of the Company, will speak at the Conference.

The presentations will be available live and for replay and can be accessed from the “Investor Relations” section of the Company’s website at http://ir.consolidated.com. Attached as Exhibits 99.1 and 99.2, respectively, are the PowerPoint slides that Mr. Udell and Mr. Currey will present at the Conference. On May 21, 2007, the Company issued a press release announcing the presentation at the Conference. A copy of this press release is included as Exhibit 99.2.
