This prospectus supplement relates to 78,346 shares of our common stock issued to the entities named under the heading Resales of Shares as part of (i) the purchase price we paid on June 11, 2010 in connection with the acquisition of certain insurance brokerage business from Bowen, Miclette, Britt & Merry of Arkansas, Inc. and (ii) an earnout payment we paid on June 17, 2010 in connection with the acquisition of certain insurance brokerage business from Melton Insurance Associates, Inc.
