Item 8.01 Other Events.
On August 27, 2013, Dycom Industries, Inc. (the “Company”) issued a press release announcing that its Board of Directors had authorized $40 million to repurchase shares of Dycom's outstanding common stock. The stock repurchases are authorized to be made over the next eighteen (18) months in open market or private transactions. The repurchase authorization replaces the Company's previous repurchase authorization, which expires on September 15, 2013 and of which approximately $22.8 million remained outstanding as of July 27, 2013. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
