(b) On December 17, 2018, Masonite International Corporation (the "Company") issued a press release announcing that Fred J. Lynch plans to retire as the Company’s President and Chief Executive Officer by the end of the second quarter of 2019. Mr. Lynch also plans to leave the Company’s Board of Directors in connection with his retirement. As part of the Company’s succession planning, the Company’s Board of Directors has initiated a process to identify a successor to Mr. Lynch which will consider both internal and external candidates. In order to ensure an orderly transition, Mr. Lynch is expected to remain in his current positions until the appointment of his successor. A copy of the December 17, 2018 press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
