ITEM 8.01    OTHER EVENTS

On September 24, 2004, Greenville First Bancshares, Inc. closed the sale of 800,000 shares of its common stock at $17.875 per share in a firm commitment underwritten offering sole managed by Sandler O’Neill & Partners, L.P. The company received net proceeds from the offering of approximately $13 million after deducting underwriting discounts and expenses. Net proceeds from the offering will be used to reduce the outstanding balance on the company’s line of credit and for general corporate purposes, which may include, among other things, providing additional capital to the company’s subsidiary, Greenville First Bank, N.A., to support asset growth.

On September 13, 2004, the company’s application for listing its common stock on The Nasdaq National Market was approved. The company’s common stock commenced trading on Nasdaq under the symbol “GVBK” on September 22, 2004.
