EXPLANATORY NOTE
DEREGISTRATION OF SECURITIES
Marathon Oil Corporation (the “Registrant”) is filing this Post-Effective Amendment No. 2 (this “Post-Effective Amendment”) to Registration Statement on Form S-8 (33-56828) (the “Registration Statement”) for the purpose of deregistering unissued and unsold shares of the Registrant’s common stock, par value $1.00 per share (the “Common Stock”), issuable to participants under the Marathon Oil Company Thrift Plan (the “Plan”) and an indeterminate amount of interests to be offered or sold pursuant to the Plan. All rights to purchase shares under the Plan have been terminated or have expired.
In accordance with the undertaking contained in the Registration Statement pursuant to Item 512 of Regulation S-K, this Post-Effective Amendment is being filed to deregister and remove all of the previously registered shares of Common Stock and plan interests that had been registered under the Registration Statement that remain unissued as of the date hereof.
