Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
 
On November 20, 2008, the Board promoted Pamela J. Penny, 53, to Executive Vice President and Chief Accounting Officer of the Company. Ms. Penny has served as Senior Vice President - Finance of HCC since 2004. Prior to joining HCC, Ms. Penny served as Senior Vice President and Controller for Aegis Mortgage Corporation from 2003 to 2004 and served in varying capacities with American International Group, Inc. (formerly American General Corporation), including Senior Vice President & Controller of American General, from 1991 to 2003. She was previously an audit partner in the international accounting firm KPMG LLP. Ms. Penny is a Certified Public Accountant and also serves as a director and officer of several of our subsidiaries. In connection with her promotion, Ms. Penny received a grant of 100,000 options, vesting over five years, with a six year term, at an exercise price of $20.86.
