RESULTS OF OPERATIONS AND FINANCIAL CONDITION
 
On March 8, 2011, Miller Industries, Inc. (the “Company”) issued a press release (the “Earnings Release”) announcing its financial results for the quarter and year ended December 31, 2010.  A copy of the Earnings Release is furnished as Exhibit 99.1 to this Form 8-K.

OTHER EVENTS
                      
On March 8, 2011, the Company issued a press release announcing that its Board of Directors declared a cash dividend of $0.12 per share on its outstanding common stock.  The dividend is payable March 24, 2011 to shareholders of record at the close of business on March 17, 2011.  A copy of the press release is attached as Exhibit 99.2 to this Form 8-K.
