On November 23, 2015, Copart, Inc., a Delaware corporation (the Company), issued a press release announcing that it expects to commence a modified Dutch auction tender offer on November 24, 2015 to purchase up to 7,317,073 shares of its common stock at a price per share not less than $38.00 and not greater than $41.00. A copy of the press release is included as Exhibit 99.1 to this Schedule TO.
The press release is for informational purposes only and is not an offer to buy or the solicitation of an offer to sell any shares of the Companys common stock. The anticipated tender offer described in the attached press release has not yet commenced.
