Explanatory Note
This Amendment No. 1 on Form 8-K/A amends the Current Report on Form 8-K filed on May 2, 2018 (the Original Filing) by Apogee Enterprises, Inc. (the Company). The Original Filing reported, among other items, the election by the Companys Board of Directors (the Board) of Herbert K. Parker to serve as a Class III director. Since the date of the Original Filing, a Class II member of the Board has notified the Board of his determination not to stand for re-election at the 2018 annual meeting of shareholders of the Company. Thereafter, Mr. Parker and the Board mutually agreed to re-assign Mr. Parker to Class II, in order to balance the director Classes in accordance with the terms of the Companys Restated Articles of Incorporation. The Company hereby amends the Original Filing to include the information in Item 5.02 below. Other than providing the additional information in Item 5.02 below, no other disclosure in the Original Filing is amended by this Form 8-K/A.

(d) Election of New Director
After the date of the Original Filing, John T. Manning, a Class II member of the Board who has served as a director for 13 years, notified the Board that he had determined not to stand for re-election at the 2018 annual meeting of shareholders of the Company. With Mr. Mannings retirement, as well as the planned retirement of another Class II member of the Board, after the 2018 annual meeting (and assuming that all directors to be nominated as Class II members are elected at such meeting), the Board would be composed of 2 Class II members, 4 Class III members and 3 Class III members. In order to achieve a more numerically balanced Board among the three Classes of directors in accordance with the terms of the Companys Restated Articles of Incorporation, the Board unanimously determined that it would be in the best interests of the Company and its shareholders to re-assign one director from Class III to Class II prior to the 2018 annual meeting. Effective May 14, 2018, the Board and Mr. Parker agreed to re-assign Mr. Parker to Class II, from Class III. Therefore, Mr. Parker will stand for election for a three-year term as a Class II director at the 2018 annual meeting of shareholders.
