On April 8, 2019, Entegris, Inc. (the Company) issued a press release regarding the determination by the board of directors of Versum Materials, Inc. (Versum) that the revised proposal from Merck KGaA constitutes a Superior Proposal (as defined in the Agreement and Plan of Merger, dated as of January 27, 2019, by and between the Company and Versum). A copy of the Companys press release is attached hereto as Exhibit 99.1 and is incorporated into this Item 8.01 by reference.
