Item 1.01 Entry into a Material Definitive Agreement.

The purpose of filing this Current Report on Form 8-K/A is to correct certain typographic errors that were included in the amended Cohu, Inc. 2005 Equity Incentive Plan filed by the Company on May 10, 2006. The only change the Company has made to the amended Cohu, Inc. 2005 Equity Incentive Plan is correcting certain Section references within the document.

A copy of the corrected, amended Cohu, Inc. 2005 Equity Incentive Plan is attached hereto as Exhibit 10.1 to this Current Report on Form 8-K/A and is incorporated by reference herein.
