Item 5.02               Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 7, 2011, Stephen V. McKenna informed Generac Holdings Inc. (the “Company”) that he is resigning as a member of the Board of Directors of the Company, effective February 11, 2011.  Mr. McKenna's resignation is not the result of a disagreement with the Company.
