Item 5.02. | Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. |
On November 14, 2017, R. Kevin Hardage was appointed to fill a temporary vacancy on the Board of Directors (the “Board”) of Holly Logistic Services, L.L.C. (the “Company”) while the Board continues its search for a new independent director. Once an independent director is identified, Mr. Hardage is expected to resign from the Board. The Company is the ultimate general partner of Holly Energy Partners, L.P. (the “Partnership”).
Mr. Hardage, 56, has served as Chief Executive Officer of Turtle Creek Trust Company, a private trust and investment management firm, since 2009 and has served as President and Portfolio Manager of Turtle Creek Management, a registered investment advisory firm, since 2006. In addition, Mr. Hardage serves as a non-controlling manager and member of TCTC Holdings, LLC, a bank holding company that is a banking, securities and investment management firm. Mr. Hardage currently serves as an independent director of HollyFrontier Corporation (“HollyFrontier”), which owns a 59% limited partnership interest in the Partnership in addition to its ownership of the Company. Mr. Hardage brings to the Board executive and general management experience as well as significant financial expertise.
Mr. Hardage is an independent director of the Company. On November 15, 2017, the Board appointed Mr. Hardage to the Audit Committee of the Board. Mr. Hardage will receive cash compensation of $18,000 per month for his service on the Board. There are no arrangements or understandings between Mr. Hardage and any other person pursuant to which Mr. Hardage was selected as a director. Mr. Hardage does not have any family relationship with any director or executive officer of the Company or any person chosen by the Company to become a director or executive officer. There are no transactions in which Mr. Hardage has an interest requiring disclosure under item 404(a) of Regulation S-K.
