ITEM 8.01     OTHER EVENTS

On June 27, 2005, Burlington Coat Factory Warehouse Corporation (the "Company") issued a press release announcing that it is exploring possible strategic alternatives to enhance stockholder value, and that Goldman Sachs & Co. has been retained as financial advisor to assist the Company in this process.

A copy of the press release is attached hereto as Exhibit 99.1.
