Item 5. Other Events and Regulation FD Disclosure.
On August 3, 2004, the Board of Directors of the Registrant declared a
quarterly dividend on the Registrant's 6.40% Cumulative Preferred Stock, Series
A. The dividend of $0.80 per share, which is for the period from July 1, 2004
through September 30, 2004, will be payable on September 30, 2004 to
stockholders of record as of September 20, 2004.
