Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.
(b) J. Otto Warren, Jr., resigned as a director of the registrant on
February 27, 2007.
(d) Charles P. Thompson, Jr., was elected to fill the vacancy on February
27, 2007. Mr. Thompson, age 60, is a registered pharmacist, the owner
of several pharmacies and a developer of medical parks. Mr. Thompson
lives in Orangeburg, South Carolina and has ten years experience on
the board of directors of registrant's subsidiary bank.
