ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On November 16, 2006, the Company reported its preliminary earnings for the
fourth quarter and year ended September 30, 2006. The Company's final results
are subject to the completion of year-end audit procedures, and final results
will be reported in conjunction with the filing of the Company's Form 10-K,
expected to be filed in early December. A copy of the Company's press release is
furnished as Exhibit 99.1 to this Current Report.
In accordance with General Instruction B.2 of Form 8-K, the information in
this report shall not be deemed "filed" for purposes of Section 18 of the
Securities Exchange Act of 1934 or otherwise subject to the liability of that
