Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements oaf Certain Officers.

Effective May 3, 2011, Paul J. Finnegan, Co-Chief Executive Officer of Madison Dearborn Partners, LLC (“MDP”), will replace George A. Peinado, a Managing Director of MDP, as one of the directors of CDW designated by MDP. This change in directors will apply to CDW Holdings LLC, CDW Corporation, CDW LLC and CDW Finance Corporation. It has not yet been determined on which committees Mr. Finnegan will serve.
