(1) The company withheld shares from the Reporting Person to cover taxes as follows: 327 shares withheld relating to the vesting of 1024 shares granted on 11/22/2012; 479 shares withheld relating to the vesting of 1500 shares granted on 11/14/2013; and 709 shares withheld relating to the vesting of 2219 shares granted on 11/21/2014.
