Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.


On November 14, 2005, Jennifer Cue, Chief Financial Officer, Chief Operating Officer and a Director of Jones Soda Co., tendered her written resignation to the Board of Directors from all of her positions as an officer and director. Ms. Cue's resignation will be effective December 13, 2005. The Company intends to immediately commence a search for qualified replacements for Ms. Cue in her roles with the Company. On November 18, 2005, the Company issued a press release regarding Ms. Cue's resignation.
