Item 2.02 Results of Operations and Financial Condition
     On May 2, 2006, MarketAxess Holdings Inc. (the “Company”) issued a press release announcing the Company’s financial results for its fiscal first quarter ended March 31, 2007. A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
